Payments Terms of Service

PLEASE READ THESE PAYMENTS TERMS CAREFULLY. THEY GOVERN ALL BILLING, PAYMENT PROCESSING, AND SUBSCRIPTION FEE TRANSACTIONS BETWEEN YOU AND CURBPAGE AND FORM PART OF YOUR AGREEMENT WITH US.

These Payments Terms of Service ("Payments Terms") are a binding legal agreement between you ("Agent," "User," "Subscriber," or "you") and CurbPage, Inc., a Delaware corporation ("CurbPage," "we," "us," or "our"). These Payments Terms govern all payment transactions, billing, subscription fees, and payment processing services in connection with your use of the CurbPage platform (the "Platform").

These Payments Terms are incorporated into and form part of the CurbPage Terms of Service ("Terms of Service"), available at curbpage.com/terms. Capitalized terms not defined in these Payments Terms have the meaning given to them in the Terms of Service. In the event of a conflict between these Payments Terms and the Terms of Service, these Payments Terms control with respect to payment-related matters.

By subscribing to the Platform or providing a payment method, you agree to be bound by these Payments Terms.

1. Overview and Relationship to Terms of Service

1.1 Scope

These Payments Terms apply to all financial transactions between you and CurbPage, including:

  • Subscription fees for access to the Platform;

  • Any one-time fees, setup fees, or add-on charges that CurbPage may introduce with notice;

  • Adjustments, credits, and refunds issued by CurbPage; and

  • Any payment-related communications and notices.

1.2 No Marketplace Payments

CurbPage is a subscription-based software platform. These Payments Terms govern only the billing relationship between you and CurbPage for access to the Platform. CurbPage does not process payments between agents and their clients, between agents and brokerages, or between any other parties in connection with real estate transactions. Any funds exchanged as part of a real estate transaction are entirely outside of CurbPage's payment infrastructure and are not governed by these Payments Terms.

1.3 Eligibility

To subscribe to and pay for the Platform, you must: (a) be at least 18 years of age; (b) have a valid CurbPage account in good standing; (c) have the legal authority to enter into a binding financial agreement; and (d) provide a valid and accepted payment method. If you are acting on behalf of a brokerage or other organization, you represent that you are authorized to bind that organization to these Payments Terms and to authorize charges to the provided payment method.

2. Payment Processor

2.1 Stripe as Payment Processor

CurbPage uses Stripe, Inc. ("Stripe") as its third-party payment processor to securely collect, process, and manage subscription payments. When you provide your payment method and authorize charges, that payment information is transmitted directly to and stored by Stripe in accordance with Stripe's security standards. CurbPage does not store your full credit card number, bank account details, or other sensitive payment credentials on its own servers.

2.2 Stripe Terms

By using the Platform and providing a payment method, you also agree to be bound by Stripe's Terms of Service (available at stripe.com/legal) and Stripe's Privacy Policy (available at stripe.com/privacy), as they may be updated from time to time. CurbPage is not responsible for the acts or omissions of Stripe in processing your payments. Any disputes regarding payment processing errors, card declines, or related issues should be directed to Stripe or your card issuer in addition to CurbPage.

2.3 PCI Compliance

Stripe maintains PCI DSS (Payment Card Industry Data Security Standard) compliance for all payment card processing. Your payment information is encrypted and handled in accordance with applicable industry security standards. CurbPage relies on Stripe's compliance infrastructure and does not independently store, transmit, or process raw payment card data.

2.4 Changes to Payment Processor

CurbPage reserves the right to change its payment processor at any time. If CurbPage migrates to a different payment processor, you may be asked to re-enter your payment method information. CurbPage will provide reasonable advance notice of any such change.

3. Subscription Fees and Billing Cycles

3.1 Subscription Plans

CurbPage offers subscription plans at various price points and feature tiers as published on the CurbPage website at curbpage.com/pricing. The applicable fees for your selected plan are displayed at the time of checkout and will be confirmed in your subscription confirmation email. CurbPage reserves the right to introduce, modify, or discontinue subscription plans at any time, subject to the notice requirements in Section 11.

3.2 Billing Cycles

Subscriptions are billed on a recurring basis according to the billing cycle you select at checkout:

  • Monthly Billing: You will be charged the applicable monthly subscription fee on the same calendar date each month (or the last day of the month if the selected date does not exist in a given month). For example, if you subscribe on the 15th of a month, your billing date will be the 15th of each subsequent month.

  • Annual Billing: You will be charged the full annual subscription fee on the date of subscription and on each anniversary of that date. Annual subscriptions are billed in full upfront and are not prorated for cancellations within the annual term.

3.3 Billing Date

Your billing date is established on the date your paid subscription begins (or, for Beta Period conversions, on the date your paid subscription commences following the Beta Period). Your billing date may shift slightly due to weekends, holidays, or month-end variations. CurbPage will reflect your actual next billing date in your account settings.

3.4 Auto-Renewal

All subscriptions automatically renew at the end of each billing cycle at the then-current subscription rate for your selected plan. Auto-renewal will continue until you cancel your subscription in accordance with Section 8. By subscribing, you authorize CurbPage and Stripe to automatically charge your payment method on each renewal date without additional notice, except as otherwise required by law.

3.5 Subscription Confirmation

Upon successful payment, CurbPage will send a confirmation email to the email address associated with your account. This confirmation serves as your receipt. You are responsible for retaining subscription receipts for your own records.

3.6 Free Trials

CurbPage may offer free trial periods for new subscribers. Where a free trial is offered, no charge will be made during the trial period. At the conclusion of the free trial, your subscription will automatically convert to a paid subscription and your payment method will be charged the applicable subscription fee unless you cancel before the trial period ends. The terms of any free trial will be disclosed at the time of signup.

4. Payment Methods

4.1 Accepted Payment Methods

CurbPage accepts the following payment methods, subject to availability in your region and Stripe's supported payment types:

  • Major credit cards (Visa, Mastercard, American Express, Discover);

  • Major debit cards with Visa or Mastercard logos;

  • ACH bank transfers (where available for U.S. accounts); and

  • Other payment methods as may be made available by Stripe and displayed at checkout.

4.2 Adding a Payment Method

To subscribe to the Platform, you must add at least one valid payment method to your account. When you add a payment method, you will be redirected to Stripe's secure payment interface to enter your payment details. CurbPage does not directly receive or store your raw payment credentials. You may add or update your payment method at any time through your account settings.

4.3 Payment Method Verification

When you add a payment method, Stripe may verify it by: (a) initiating a small authorization hold that will be released; or (b) requiring confirmation through your financial institution. This verification process does not result in a charge to your account. If verification fails, you will be prompted to provide a different payment method.

4.4 Keeping Payment Information Current

You are responsible for ensuring that your payment method information is accurate, current, and not expired. If your payment method expires, is replaced, or is otherwise no longer valid, you must update your payment information promptly through your account settings. CurbPage and Stripe may use account updater services provided by card networks to automatically update expired or replaced card information. You consent to this automatic update process.

4.5 Multiple Payment Methods

You may store more than one payment method in your account. You may designate a primary payment method for recurring charges. If your primary payment method fails, CurbPage may attempt to charge any backup payment method associated with your account.

4.6 Currency

All subscription fees are charged in U.S. Dollars (USD) unless otherwise specified at the time of checkout. If your payment method is denominated in a different currency, your card issuer or bank will apply its own exchange rate and may charge currency conversion fees. CurbPage is not responsible for any fees charged by your financial institution in connection with currency conversion.

5. Authorization to Charge

5.1 Express Authorization

By providing a payment method and subscribing to the Platform, you expressly authorize CurbPage (through Stripe) to charge your payment method for:

  • The full subscription fee for your selected plan at the beginning of each billing cycle;

  • Any applicable taxes assessed on your subscription fees;

  • Any fees for plan upgrades or add-ons you select;

  • Any outstanding balances arising from failed payments, as described in Section 9; and

  • Any other charges you have expressly agreed to pay through the Platform.

5.2 Recurring Charge Authorization

Your authorization to charge your payment method is a recurring authorization that continues until your subscription is cancelled and all outstanding balances are paid. You do not need to take any action to authorize each individual renewal charge; your initial subscription constitutes authorization for all future renewal charges until cancellation.

5.3 Charge Timing

CurbPage will initiate charges to your payment method at the start of each billing cycle (or upon subscription for the first cycle). Charges may take one to five (1-5) business days to appear on your financial institution's statement, depending on your financial institution's processing times.

5.4 Brokerage Account Authorization

If you are a brokerage administrator subscribing on behalf of agents and staff, you represent and warrant that you are authorized to provide a payment method on behalf of the brokerage and to bind the brokerage to these Payments Terms. All charges made under a brokerage account are the responsibility of the brokerage.

6. Beta Period and Conversion to Paid Subscription

6.1 Beta Period Access

CurbPage may provide access to the Platform on a complimentary basis during a designated Beta Period, as described in the Terms of Service and in any separate Beta agreement you have executed with CurbPage. During the Beta Period, you will not be charged subscription fees, and no payment method is required unless otherwise specified in your Beta agreement.

6.2 Beta Conversion Notice

Prior to the conclusion of the Beta Period, CurbPage will provide you with written notice of: (a) the date on which the Beta Period will end; (b) the subscription plan(s) available to you upon conversion; (c) the applicable subscription fee for each available plan; and (d) any promotional pricing that may apply to Beta Period participants converting to paid subscriptions. This notice will be provided via the email address associated with your account and/or via in-Platform notification, at least fourteen (14) days before the Beta Period ends.

6.3 Payment Method Collection at Conversion

To continue accessing the Platform following the Beta Period, you must provide a valid payment method and select a subscription plan prior to the Beta Period end date. CurbPage will not charge your payment method until the first day of your paid subscription term, which begins on the day immediately following the conclusion of the Beta Period (or on such other date as specified in your Beta conversion notice).

6.4 Failure to Convert

If you do not provide a valid payment method and select a subscription plan before the Beta Period end date, your access to the Platform will be suspended at the conclusion of the Beta Period. You may reactivate your account by subscribing at any time following suspension; however, CurbPage does not guarantee that your account data will be retained indefinitely following suspension. Please refer to the Terms of Service for data retention terms.

6.5 Beta Promotional Pricing

Any promotional pricing offered to Beta Period participants at conversion (e.g., a discounted rate for the first subscription term) will be described in your Beta conversion notice. Promotional pricing applies only for the period specified and will not automatically continue beyond the promotional term. At the conclusion of any promotional period, your subscription will renew at the then-current standard rate for your selected plan.

6.6 No Retroactive Charges

CurbPage will not retroactively charge you for access to the Platform provided during the Beta Period, regardless of the subscription plan you select at conversion.

7. Upgrades, Downgrades, and Plan Changes

7.1 Upgrades

You may upgrade your subscription plan at any time through your account settings. When you upgrade to a higher-tier plan, the upgrade will take effect immediately, and you will be charged a prorated amount for the remainder of your current billing cycle based on the difference in plan pricing. Beginning with your next billing cycle, you will be charged the full fee for the new plan.

7.2 Downgrades

You may downgrade your subscription plan at any time. A plan downgrade will take effect at the start of your next billing cycle. No prorated refund is issued for the remainder of the current billing cycle following a downgrade request. When you downgrade, you will retain access to your current plan's features until the end of the current billing cycle.

7.3 Switching Billing Cycles

You may request to switch between monthly and annual billing. A switch to annual billing will take effect at the start of your next billing cycle, and you will be charged the full annual subscription fee at that time. A switch from annual to monthly billing will take effect at the start of the period following the expiration of your current annual subscription term.

7.4 Brokerage-Level Plan Changes

Brokerage administrators may add or remove agent seats or adjust plan tiers for the brokerage account. Charges for additional seats are prorated for the remainder of the current billing cycle. Reductions in seat count take effect at the start of the next billing cycle. The brokerage administrator is responsible for ensuring that the brokerage's subscription accurately reflects the number of active users.

8. Cancellation and Refund Policy

8.1 How to Cancel

You may cancel your subscription at any time by: (a) navigating to your account settings and selecting the cancellation option; or (b) contacting CurbPage Support at support@curbpage.com. Cancellation requests are processed promptly. Upon cancellation, you will receive a confirmation email. If you do not receive a confirmation within 24 hours, please contact support@curbpage.com to confirm your cancellation was processed.

8.2 Cancellation Effective Date

Cancellation is effective at the end of your then-current billing cycle. You will retain full access to the Platform through the last day of your paid subscription period. No partial-period refunds are issued for the remaining days in a billing cycle following a cancellation.

8.3 Annual Subscriptions

If you cancel an annual subscription, your access will continue through the end of the annual term for which you have already paid. No refund is issued for the unused portion of an annual subscription term, except as required by applicable law or as otherwise determined by CurbPage in its sole discretion.

8.4 No Refunds — General Policy

All subscription fees are non-refundable, except:

  • As required by applicable federal or state law;

  • In cases of duplicate charges caused by a billing error on CurbPage's part;

  • In cases where CurbPage terminates your subscription without cause before the end of a prepaid subscription period, in which case CurbPage will issue a prorated refund for the unused portion of the prepaid period; or

  • In such other circumstances as CurbPage determines in its sole discretion on a case-by-case basis.

8.5 Refund Process

Where a refund is approved, CurbPage will credit the refund to the payment method used for the original charge. Refunds are processed within five to ten (5-10) business days of approval. The time for the refund to appear on your financial institution's statement may vary. CurbPage is not responsible for delays caused by your financial institution.

8.6 Account Data Following Cancellation

Following cancellation, your account will enter a suspended state. You will have 30 days from your cancellation effective date to log in and export your account data. After 30 days, CurbPage may permanently delete your account data in accordance with the Terms of Service and Privacy Policy. Please ensure you export any data you wish to retain before your account data is deleted.

9. Failed Payments and Collections

9.1 Failed Payment Notification

If a charge to your payment method fails (e.g., due to insufficient funds, an expired card, or a declined transaction), CurbPage will notify you via the email address associated with your account and/or via in-Platform notification. You are responsible for resolving the failed payment promptly.

9.2 Retry Attempts

Following a failed payment, CurbPage and Stripe may automatically retry the charge to your payment method. Retry attempts may occur at intervals of one (1), three (3), five (5), and seven (7) days following the initial failed charge, or at such other intervals as CurbPage may determine. You authorize CurbPage and Stripe to make these retry attempts without additional notice.

9.3 Grace Period

CurbPage may, at its discretion, provide a grace period of up to seven (7) days following a failed payment during which your access to the Platform will remain active while the payment issue is resolved. The existence of a grace period in any given instance does not obligate CurbPage to provide a grace period in any other instance.

9.4 Suspension for Non-Payment

If a failed payment is not resolved within the grace period (or, if no grace period is provided, promptly following the failed charge), CurbPage reserves the right to suspend your access to the Platform without further notice until all outstanding amounts are paid in full. Suspension for non-payment does not constitute a cancellation of your subscription or waiver of any outstanding fees.

9.5 Reactivation Following Suspension

To reactivate a suspended account, you must update your payment method and authorize CurbPage to collect all outstanding fees, including any fees that accrued during the suspension period. Access will be restored promptly following successful collection of all outstanding amounts.

9.6 Collections

If outstanding fees remain unpaid for more than thirty (30) days, CurbPage reserves the right to refer the outstanding amount to a collections agency and/or pursue any other available legal or equitable remedies. You agree to reimburse CurbPage for all reasonable costs of collection, including attorneys' fees, to the extent permitted by applicable law.

9.7 Late Fees

CurbPage reserves the right to assess a late fee of up to 1.5% per month (or the maximum rate permitted by applicable law, if lower) on any outstanding unpaid balances that are more than 30 days past due. CurbPage will provide notice before assessing any late fee.

10. Taxes

10.1 Tax Responsibility

All subscription fees quoted by CurbPage are exclusive of applicable taxes unless expressly stated otherwise. You are responsible for paying all taxes, levies, duties, and similar governmental charges applicable to your subscription, including but not limited to sales tax, use tax, value-added tax (VAT), and goods and services tax (GST), except for taxes assessed on CurbPage's net income.

10.2 Tax Collection by CurbPage

Where CurbPage is required by applicable law to collect taxes on subscription fees, CurbPage will add the applicable tax to your invoice and charge it to your payment method. The amount of tax charged will be reflected on your subscription receipt. CurbPage may update the taxes collected as tax laws and CurbPage's tax obligations change over time.

10.3 Tax Exemptions

If you are exempt from paying sales tax or other applicable taxes on subscription software services, you must provide CurbPage with a valid tax exemption certificate or other documentation acceptable to CurbPage before any subscription charge is made. Tax exemption status will be applied prospectively from the date CurbPage receives and validates your exemption documentation. CurbPage does not retroactively refund taxes already collected.

10.4 Your Tax Obligations

You are solely responsible for determining, collecting, reporting, and remitting any taxes applicable to your real estate business and to your use of the Platform. CurbPage does not provide tax advice, and nothing in these Payments Terms or the Platform should be construed as tax guidance. You should consult a qualified tax professional regarding your tax obligations.

11. Pricing Changes

11.1 Right to Modify Pricing

CurbPage reserves the right to modify subscription pricing at any time. CurbPage will provide you with at least thirty (30) days' advance written notice of any increase in subscription fees before the price change takes effect for your account. Notice will be sent to the email address associated with your account and/or via in-Platform notification.

11.2 Acceptance of New Pricing

Your continued use of the Platform after the effective date of a price change constitutes your acceptance of the new subscription fee. If you do not agree to the new pricing, you must cancel your subscription before the effective date of the price change in accordance with Section 8. No refunds are issued for any portion of a prepaid subscription period in the event you cancel due to a price change, except as required by applicable law.

11.3 Price Locks and Promotional Commitments

If CurbPage has provided you with a written commitment to lock in a specific price for a defined period (e.g., as part of a Beta conversion offer or a negotiated agreement), that price lock will be honored for the duration of the committed period. Upon expiration of the price lock period, your subscription will renew at the then-current standard rate unless CurbPage provides a renewal offer at a different rate.

11.4 No Price Changes During Annual Term

If you are subscribed to an annual plan, CurbPage will not increase your subscription fee during the current annual term for which you have already paid. Price changes for annual subscribers will take effect at the start of your next annual renewal term, subject to the 30-day notice requirement.

12. Fraud Prevention and Payment Restrictions

12.1 Fraud Prevention Measures

CurbPage and Stripe implement fraud detection and prevention measures to protect the integrity of the payment system. These measures may include automated screening of payment methods, identity verification steps, and review of unusual account activity. CurbPage reserves the right to decline, delay, or reverse any payment that it reasonably believes may be fraudulent, unauthorized, or in violation of these Payments Terms.

12.2 Identity Verification

CurbPage or Stripe may request identity verification information from you in connection with payment processing, including government-issued identification or business registration documentation. Failure to provide requested verification information may result in suspension of payment processing and Platform access.

12.3 Account Flags

If CurbPage detects activity suggesting unauthorized use of a payment method, fraudulent activity, or a pattern inconsistent with legitimate use, CurbPage may flag your account, suspend payment processing, and contact you to verify the activity. CurbPage is not liable for any service interruption resulting from fraud prevention measures undertaken in good faith.

12.4 Your Fraud Prevention Obligations

You agree to: (a) use only payment methods that you are authorized to use; (b) promptly notify CurbPage if you believe your payment method has been compromised or used without authorization; and (c) cooperate with CurbPage and Stripe in any fraud investigation.

13. Disputes and Chargebacks

13.1 Billing Dispute Process

If you believe you have been charged in error or have a question about a charge on your account, you should contact CurbPage Support at support@curbpage.com before initiating a chargeback or dispute with your financial institution. CurbPage will review billing dispute requests and, where an error is confirmed, will issue a correction or refund within ten (10) business days.

13.2 Chargebacks

If you initiate a chargeback or payment dispute with your financial institution without first contacting CurbPage to resolve the issue, CurbPage reserves the right to: (a) suspend your access to the Platform during the pendency of the dispute; (b) contest the chargeback using records of your authorization and use of the Platform; and (c) recover from you any amounts awarded to CurbPage in the chargeback resolution process, including chargeback fees charged to CurbPage by Stripe or the applicable card network.

13.3 Chargeback Fees

Card networks and payment processors typically assess chargeback fees for disputed transactions. If CurbPage incurs chargeback fees as a result of a dispute you initiate, and the dispute is resolved in CurbPage's favor, you agree to reimburse CurbPage for the chargeback fees incurred.

13.4 Fraudulent Chargebacks

Initiating a chargeback for a legitimate charge ("friendly fraud") constitutes a material breach of these Payments Terms and may result in immediate termination of your subscription and account.

14. Prohibited Conduct

In connection with the payment services, you agree not to:

  • Provide false, inaccurate, or misleading payment method information;

  • Use a payment method that you are not authorized to use;

  • Attempt to circumvent subscription fees by creating duplicate accounts, exploiting free trial offers in bad faith, or other means;

  • Engage in any fraudulent activity in connection with the payment system, including initiating unauthorized chargebacks;

  • Share, sell, or transfer your subscription to another person or entity;

  • Use the Platform in a manner designed to avoid legitimate subscription charges; or

  • Violate any applicable law in connection with payment for the Platform, including anti-money laundering or sanctions laws.

Violation of any of the above may result in immediate suspension or termination of your account and subscription, and CurbPage reserves the right to pursue all available legal remedies.

15. Disclaimers

THE FOLLOWING DISCLAIMERS APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

PAYMENT SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." CURBPAGE AND STRIPE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO PAYMENT PROCESSING SERVICES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

CurbPage does not warrant that payment processing will be uninterrupted, error-free, or free from delays. Payment processing is subject to the availability of Stripe's services and the systems of your financial institution. CurbPage is not responsible for payment failures, delays, or errors caused by Stripe, your financial institution, card networks, or third-party infrastructure.

CurbPage is not a bank, financial institution, or money services business. CurbPage does not provide banking services, hold funds on your behalf, or offer financial products. All payment processing is performed by Stripe, subject to Stripe's terms and applicable law.

16. Limitation of Liability

16.1 Payment-Specific Limitation

IN NO EVENT WILL CURBPAGE BE LIABLE FOR ANY LOSS OR DAMAGE ARISING FROM: (A) PAYMENT PROCESSING ERRORS, DELAYS, OR FAILURES CAUSED BY STRIPE, YOUR FINANCIAL INSTITUTION, OR THIRD-PARTY CARD NETWORKS; (B) UNAUTHORIZED CHARGES TO YOUR PAYMENT METHOD BY PARTIES OTHER THAN CURBPAGE; (C) CURRENCY CONVERSION FEES OR EXCHANGE RATE FLUCTUATIONS IMPOSED BY YOUR FINANCIAL INSTITUTION; OR (D) FAILURE TO RECEIVE PAYMENT CONFIRMATIONS DUE TO INCORRECT EMAIL ADDRESSES OR SPAM FILTERING.

16.2 Aggregate Cap

TO THE EXTENT CURBPAGE IS FOUND LIABLE FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE PAYMENTS TERMS, CURBPAGE'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY YOU TO CURBPAGE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

16.3 Incorporation

The limitation of liability provisions in the Terms of Service also apply to these Payments Terms and are incorporated herein by reference.

17. Modification and Termination

17.1 Modifications to Payments Terms

CurbPage may modify these Payments Terms at any time. Material changes will be communicated to you with at least 30 days' advance written notice via email and/or in-Platform notification. Your continued use of the Platform or continued subscription following the effective date of any modification constitutes your acceptance of the revised Payments Terms. If you do not agree to a modification, you must cancel your subscription before the modification takes effect.

17.2 Termination of Payment Services

CurbPage may terminate your access to payment services immediately if: (a) you materially breach these Payments Terms; (b) CurbPage determines in good faith that your payment activity poses a fraud or compliance risk; or (c) CurbPage discontinues the Platform in accordance with the Terms of Service. Termination of payment services constitutes termination of your subscription.

17.3 Survival

The following provisions of these Payments Terms survive termination: Sections 1.2, 8, 9 (to the extent of any outstanding fees), 10, 13, 14, 15, 16, 18, and 19.

18. Governing Law and Dispute Resolution

18.1 Governing Law

These Payments Terms are governed by and construed in accordance with the laws of the State of Arkansas, without regard to its conflict of law principles, consistent with the governing law provisions in the Terms of Service.

18.2 Dispute Resolution

Any dispute arising out of or relating to these Payments Terms, including billing disputes not resolved through the process in Section 13.1, shall be subject to the dispute resolution and arbitration provisions set forth in Section 18 of the Terms of Service ("Governing Law and Dispute Resolution"), which are incorporated herein by reference. This includes the binding arbitration agreement, class action waiver, and venue provisions contained therein.

18.3 Billing Disputes — Informal Resolution First

Before initiating any formal dispute proceeding regarding a billing matter, you agree to contact CurbPage at support@curbpage.com and provide a detailed description of the billing issue, the charge(s) in question, and the resolution you seek. CurbPage will respond within five (5) business days. This informal process is a prerequisite to any formal dispute proceeding related to payment matters.

19. Miscellaneous

19.1 Entire Agreement on Payment Matters

These Payments Terms, together with the Terms of Service and Privacy Policy, constitute the entire agreement between you and CurbPage with respect to payment processing and subscription billing for the Platform.

19.2 Incorporation into Terms of Service

These Payments Terms are incorporated into and form part of the Terms of Service. In the event of a conflict between these Payments Terms and the Terms of Service on a payment-related matter, these Payments Terms control. In all other respects, the Terms of Service govern.

19.3 Severability

If any provision of these Payments Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions will continue in full force and effect.

19.4 No Waiver

CurbPage's failure to enforce any provision of these Payments Terms shall not constitute a waiver of its right to enforce that provision in the future.

19.5 Assignment

You may not assign your rights or obligations under these Payments Terms without CurbPage's prior written consent. CurbPage may assign these Payments Terms in connection with a merger, acquisition, or sale of assets.

19.6 Electronic Records and Notices

You consent to receive all billing communications, receipts, and notices related to payment electronically, at the email address associated with your account. It is your responsibility to keep your email address current and to ensure that CurbPage communications are not filtered as spam. Electronic notices satisfy any requirement for written notice under these Payments Terms.

19.7 Record Keeping

CurbPage will maintain records of subscription transactions and billing history accessible through your account settings. You are encouraged to retain copies of all receipts and billing confirmations for your own records. CurbPage's billing records will be considered the authoritative record in the event of any dispute.
